Terms and Conditions

1. Agreement

These Terms and Conditions govern access to and use of the Orion practice management platform (the “Service”), operated by Orion, LLC (“Orion”, “we”, “us”). By creating an account, subscribing, or using the Service, the clinic and the individuals it authorises (“you”) accept these Terms. If you are accepting on behalf of a clinic, you confirm you are authorised to bind it.

These Terms incorporate our Fulfillment Policy and our Privacy Policy.

2. The Service

Orion is a cloud-based practice management system. No software is shipped and no hardware is supplied. The Service is provided in editions:

  • Orion Dental — practice management for dental clinics.
  • Orion Médico — for primary care and radiology practices.
  • Orion Bridge — capture from supported intraoral sensors, included at no additional charge with an active subscription.
  • Orion+ — an optional layer of assistive analysis for Orion Dental only.

Editions, features and supported devices may change as the Service develops. We will not materially reduce the features of a paid edition during a period you have already paid for.

3. Accounts, provisioning and training

To open an account you provide basic clinic and user information, which we use to provision your environment. You are responsible for the accuracy of that information, for the credentials issued to your users, and for all activity under those credentials.

Orion provides training so your team can operate the Service. Orion does not perform data entry, does not configure your clinical content on your behalf, and does not migrate historical records unless separately agreed in writing.

4. Clinic and patient data

Data you enter — including patient records, images and documents — remains yours. We process it only to provide the Service, to support you, and as described in our Privacy Policy.

Patient records are encrypted in transit and at rest. Access is restricted by role, and every access to a record is logged — who opened it, and what they changed. Backups run on a schedule.

If your practice is subject to a specific regulatory regime, tell us and we will address it in writing.

You are responsible for obtaining any patient consent required by the law that applies to your practice, and for the lawfulness of the data you upload.

5. Subscriptions, billing and renewal

Subscriptions are billed in advance for the period selected — monthly, six-monthly or annual — at the price shown at the time of purchase. Payment is handled by our payment processor; we do not store full card details.

A new clinic’s first payment includes three additional months of access, granted once, as time to get established on the Service. It is a one-time grant tied to a first subscription, not a recurring discount, and it does not apply to renewals, upgrades or subsequent subscriptions.

Subscriptions renew automatically for the same period unless cancelled before the renewal date. Delivery, activation timing, support hours, cancellation and refunds are set out in the Fulfillment Policy.

6. Acceptable use

You agree not to use the Service unlawfully, to attempt to gain unauthorised access to it, to interfere with its operation or security, to resell or provide access to clinics other than your own, or to use it to store or transmit material you have no right to handle.

7. Clinical responsibility

Orion is a record-keeping and workflow tool. It does not practise medicine or dentistry.

Any measurement, analysis, detection, simulation or suggestion produced by the Service — including cephalometric analysis, caries and lesion detection, periodontal bone-loss measurement, smile design and any rendered before-and-after imagery, and including any feature that uses artificial intelligence — is assistive only. It is not a diagnosis, not a treatment plan, and not medical or dental advice.

Values proposed by such features are presented for review and may be corrected by the treating professional. Simulated imagery is labelled as a simulation and must not be presented to a patient as a guaranteed clinical outcome.

All clinical decisions, and all communication of them to patients, remain the sole responsibility of the treating professional.

8. Imaging devices and third-party equipment

Orion Bridge captures images from supported third-party sensors. Those devices, their drivers and their own software are supplied and warranted by their manufacturers, not by Orion. Compatibility may change when a manufacturer alters its hardware or software, and we do not warrant that any particular device will remain supported.

9. Availability

We aim to keep the Service continuously available and to maintain periodic backups. We do not warrant uninterrupted or error-free operation. We may carry out maintenance that temporarily limits access, and will seek to schedule disruptive work outside clinical hours where practical.

10. Suspension and termination

You may cancel as described in the Fulfillment Policy. We may suspend or terminate access for non-payment, for a breach of these Terms, or where continued use would put the Service or other clinics at risk.

On termination you may request an export of your clinic’s data within thirty (30) days. After that period we may delete it in the ordinary course.

11. Limitation of liability

To the extent permitted by law, Orion is not liable for indirect, incidental or consequential losses, for lost profits or lost opportunity, or for any clinical decision taken by a professional using the Service. Our total liability for any claim relating to the Service is limited to the amounts you paid for it in the twelve months before the claim arose.

Nothing in these Terms limits liability that cannot lawfully be limited.

12. Changes

We may update these Terms as the Service changes. The date above records the last update. Material changes affecting price or your rights will be notified before they take effect for your next period.
